Vendor Terms
Welcome to Whaaplynk, a business messaging and automation platform developed by Team Revolynk. These Vendor Terms and Conditions (“Terms”) govern your participation as a vendor, partner, or reseller on the Whaaplynk platform. By registering, listing services, or offering products on Whaaplynk, you agree to be legally bound by these Terms, along with our Privacy Policy and Acceptable Use Policy.
If you do not agree with any part of these Terms, you must refrain from registering or providing services on the Whaaplynk platform.
Role of Vendor
As a vendor, you operate as an independent third party providing services, tools, solutions, or products via the Whaaplynk ecosystem. Typical offerings include (but are not limited to):
• WhatsApp integration services
• Messaging templates and campaigns
• Lead generation tools
• API-based automations
• Custom dashboards, analytics, or reporting tools
• Resale of subscription services
Important: Vendors are not agents, employees, or representatives of Team Revolynk. You operate under your own brand and are fully responsible for the services you provide, including quality, delivery, and compliance.
Registration and Onboarding
To become an approved Whaaplynk vendor:
Submit a complete vendor registration form with accurate company, contact, and service information.
Agree to comply with all applicable laws, including data protection, intellectual property, and licensing requirements.
Provide any additional documentation requested by Team Revolynk for verification.
Approval is at the sole discretion of Whaaplynk. We may reject or suspend vendor accounts without obligation to provide a reason. Once approved, you gain access to your vendor dashboard, where you can list services, integrate tools, or resell products.
Service Listings and Performance
As a vendor, you are responsible for ensuring:
Accurate and transparent service or product descriptions.
Clear disclosure of pricing, timelines, inclusions, limitations, and dependencies.
Professional and timely delivery of services, meeting agreed quality standards.
Clear and ongoing communication with customers who engage your services.
Whaaplynk reserves the right to remove any service listing that:
• Violates laws, regulations, or platform policies.
• Misleads users or generates repeated complaints.
• Conflicts with platform interests or partner guidelines.
Vendor Obligations
By participating on Whaaplynk, you agree to:
• Comply with all applicable local, state, national, and international laws.
• Avoid infringing on third-party rights, including copyrights, trademarks, or licenses.
• Ensure listings and services are free from misleading, false, or harmful content.
• Maintain professional conduct in all dealings with customers and platform representatives.
• Promptly resolve any user complaints or disputes.
• Respect platform-level limitations, restrictions, or feature scopes.
• Use customer data only to deliver the agreed services, and not for unsolicited contact or external marketing without explicit consent.
Failure to meet these obligations may result in suspension or permanent removal from the platform.
Payments, Commissions, and Billing
Vendors receive payments through Whaaplynk’s platform-facilitated payment system.
Payments are processed on a scheduled basis (e.g., weekly or monthly) after service completion confirmation.
Vendors are responsible for applicable taxes, including GST/VAT or other duties.
Chargebacks or disputes from customers may temporarily delay payments until resolved.
Refund and Payment Policy:
If a valid refund is requested by a customer, Whaaplynk will process it according to the original payment method within 2 working days of verification.
Any pending payments to the vendor will be adjusted after resolving refunds, chargebacks, or disputes.
Whaaplynk reserves the right to withhold or adjust payments in cases of:
Fraud or suspicious activity
Breach of these Terms
Violation of platform policies
Intellectual Property
• You retain ownership of the content, tools, and intellectual property you create or offer on the platform.
• By listing services on Whaaplynk, you grant a non-exclusive, worldwide, royalty-free license to display, promote, and share your content for marketing, platform use, or customer engagement purposes.
• You may not use Whaaplynk branding, trademarks, or logos without prior written consent from Team Revolynk.
Non-Exclusivity
• Nothing in these Terms creates an exclusive relationship between you and Team Revolynk.
• You may offer your services on other platforms or directly to clients outside of Whaaplynk.
• Whaaplynk may onboard similar services from other vendors, including competitors.
Vendor Shipping Policy
This section clarifies the responsibilities of vendors when delivering physical products or services requiring delivery.
Vendor Responsibilities:
Vendors are solely responsible for shipping and delivery of products listed on Whaaplynk.
Vendors must provide accurate shipping timelines, tracking details, and packaging that ensures safe delivery.
Any delays, damages, or losses during transit are the vendor’s responsibility unless caused by the platform or carrier error.
Vendors must comply with all local, national, and international shipping laws, including customs, taxes, or duties.
Vendors should respond promptly to customer inquiries regarding shipping status or issues.
Shipping Disputes and Refunds:
In case of lost, damaged, or delayed shipments, vendors are responsible for resolving the issue directly with the customer.
Whaaplynk may mediate disputes if necessary but is not liable for shipping failures by the vendor.
Termination and Account Suspension
Vendor-Initiated Termination:
• You may terminate your engagement at any time by submitting written notice to Whaaplynk support.
Platform-Initiated Termination or Suspension
Whaaplynk may suspend or terminate vendor access for reasons including:
• Breach of these Terms
• Repeated customer complaints or refund issues
• Legal or regulatory concerns
• Fraudulent, unethical, or harmful behavior
• Misuse or abuse of platform features
Upon termination:
• Your access to the vendor dashboard, service listings, and active customer data will be revoked.
• Pending payments will be reviewed and settled after deducting applicable penalties, chargebacks, or unresolved disputes.
Independent Contractor Status
You acknowledge that your relationship with Whaaplynk is that of an independent contractor. These Terms do not:
• Create an employment relationship
• Establish a joint venture or partnership
• Authorize you to act as a representative of Team Revolynk
You are responsible for your own business expenses, licenses, employee obligations, insurance, and legal compliance.
Governing Law and Jurisdiction
• These Terms are governed by the laws of India.
• Any disputes arising in relation to these Terms shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana.
• By using Whaaplynk as a vendor, you agree to this jurisdiction and waive any objection to the venue.
Confidentiality
During your engagement, you may access non-public business data, product plans, or customer insights. You agree to:
• Maintain confidentiality during and after your engagement.
• Restrict access and not disclose information without prior written consent from Whaaplynk.
Confidential information includes, but is not limited to:
• User data or usage patterns
• Technical integrations or API specifications
• Internal communications and operational models
• Financial or strategic data
Unauthorized disclosure may result in legal action.
Modification of Terms
• Whaaplynk reserves the right to modify or update these Terms at any time.
• Vendors will be notified of significant changes via email or platform dashboard.
• Continued use of the platform after updates constitutes acceptance of the revised Terms.
• If you do not agree with updated Terms, you may discontinue your vendor account before the changes take effect.
