VENDOR TERMS & CONDITIONS (Vendor = Businesses subscribing to Whaaplynk for commercial usage) 1. Vendor Agreement Scope These Vendor Terms apply to any business, reseller, agency, or enterprise (“Vendor”) subscribing to Whaaplynk for commercial use. 2. License Grant Whaaplynk grants Vendors a limited, revocable, non-transferable license to use the platform for internal business communication and marketing. 3. Vendor Obligations Vendors must: Ensure lawful message delivery and opt-in compliance Train internal agents and users Protect account credentials Comply with WhatsApp Business and Meta policies 4. Prohibited Vendor Activities Vendors may not: Resell or white-label Whaaplynk without written approval Offer competing platforms using Whaaplynk infrastructure Use the platform for spam, fraud, or illegal campaigns 5. Fees, Plans & Taxes Vendor pricing is subscription-based Fees are exclusive of applicable taxes All charges are non-refundable 6. Service Availability Whaaplynk does not guarantee uninterrupted uptime. Maintenance, updates, or outages may occur. 7. Confidentiality Both parties agree to protect confidential information, including platform data, pricing, and proprietary processes. 8. Indemnification Vendor agrees to indemnify Whaaplynk against: Legal claims arising from vendor messaging Data misuse or customer complaints Regulatory penalties caused by vendor actions 9. Termination Whaaplynk may suspend or terminate vendor access for: Policy violations Payment defaults Reputational or compliance risks 10. Limitation of Liability Whaaplynk shall not be liable for: Campaign performance Customer conversions Business losses 11. Governing Law These Vendor Terms are governed by Indian law, with exclusive jurisdiction in [Your City/State].
